These Terms of Service ("Terms") govern your access to and use of the ShowLAB Studio website, free community, application forms, the ShowLAB Catalyst Cohort, and related services (collectively, the "Services"), operated by ShowLAB Studio ("we," "us," or "our").

Please read these Terms carefully before accessing or using the Services. By accessing, applying for, purchasing, or using any part of the Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing, browsing, applying to, registering for, purchasing, or using the Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any additional policies referenced herein, including our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Services.

We reserve the right to modify these Terms at any time. Continued use of the Services after any such changes constitutes your acceptance of the revised Terms.

2. Description of Services

ShowLAB Studio provides educational and coaching content and programs for theatre writers, including a free community and the ShowLAB Catalyst Cohort, a paid, cohort-based program focused on developing plays and musicals.

The Services are educational and developmental in nature. ShowLAB Studio does not guarantee any specific outcome, including but not limited to completion of a draft, acceptance into any award, development, or submission opportunity, or any commercial or artistic result.

3. No Guaranteed Outcomes

Your results from participating in the Services depend on factors outside our control, including your own effort, prior experience, and the nature of your project. Testimonials and examples shared through the Services reflect individual experiences and are not a guarantee that you will achieve similar results.

Any guarantee stated elsewhere (for example, continued support beyond a cohort's scheduled end date if you complete the program's requirements) applies only as specifically described at the time it is offered to you, and does not extend beyond those stated terms.

4. Eligibility and Application

Participation in paid programs such as the ShowLAB Catalyst Cohort is by application. We reserve the right to accept or decline any application at our sole discretion.

Submitting an application does not guarantee acceptance into a cohort.

5. Intellectual Property Rights

All content and materials provided through the Services, including frameworks, course modules, worksheets, and recordings, are the property of ShowLAB Studio or its licensors and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use this content solely for your own personal, non-commercial use as a participant in the Services.

You may not copy, reproduce, distribute, resell, or otherwise exploit any part of the Services or its content without our prior written consent.

You retain all rights to your own creative work (your play, musical, or other writing) that you develop during your participation in the Services.

6. User Conduct

You agree not to:

  • Use the Services for any unlawful, fraudulent, or harmful purpose
  • Violate any applicable laws or regulations
  • Misrepresent your identity or affiliation
  • Interfere with or disrupt the operation of the Services, including group calls and community spaces
  • Copy, distribute, or share paid content in violation of these Terms

We reserve the right to suspend or terminate your access to the Services, without notice or refund, if you violate these Terms.

7. Payment, Access, and Refunds

Access to paid Services requires payment of the fees described to you at the time of application and enrollment. For the ShowLAB Catalyst Cohort, this is currently structured as monthly payments over the length of the cohort.

All payments are processed through third-party payment processors. ShowLAB Studio does not store your full payment card information.

Unless otherwise stated in writing to you at the time of purchase, payments are non-refundable once a cohort has begun. [Confirm and finalize refund policy before publishing.]

8. Assumption of Risk

You acknowledge that participation in the Services, including sharing your creative work for feedback, involves inherent risk and vulnerability. You voluntarily assume responsibility for how you choose to use feedback and guidance provided through the Services.

9. Limitation of Liability

To the fullest extent permitted by law, ShowLAB Studio and its owners, employees, contractors, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or related to your access to or use of the Services.

In no event shall ShowLAB Studio's total liability exceed the amount you paid to ShowLAB Studio during the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless ShowLAB Studio and its affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses arising out of or related to your access to or use of the Services, your violation of these Terms, or your violation of any applicable laws or regulations.

11. Termination of Access

We reserve the right, in our sole discretion, to suspend, restrict, or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms.

All provisions of these Terms that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, limitations of liability, indemnification, and governing law.

12. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. ShowLAB Studio makes no representations or warranties of any kind, express or implied, regarding the Services.

Your use of the Services is at your sole risk.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be attempted to be resolved informally by contacting us directly.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

15. Changes to These Terms

We reserve the right to update or modify these Terms at any time. Any changes will be effective upon posting the revised Terms on the website. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.
